1. Introduction
These Terms of Use (“Terms”) govern your access to and use of the Trade Compliance Workbench platform, including any associated applications, features, and services (collectively, the “Service”), provided by LumiLex.AI Inc., incorporated under the laws of Delaware (“LumiLex,” “we,” “our,” or “us”). The Service is accessible via tradecomplianceworkbench.com and associated domains or applications.
By registering, accessing, or using our Service, you agree to be bound by these Terms. If using the Service on behalf of an organization, you represent that you can bind that organization to these Terms. If you (or your organization) have entered into a separate written subscription agreement with LumiLex, that agreement governs and controls over these Terms to the extent of any conflict.
2. Service Description
The Service provides tools for international trade compliance, including item classification, denied parties screening, and trade compliance news aggregation. LumiLex reserves the right to modify or discontinue features at any time with reasonable notice.
3. Account Registration and Security
You must provide accurate registration information and safeguard your account credentials. Notify LumiLex immediately of unauthorized use. Accounts and credentials may not be shared among individuals. Accounts may be suspended for suspected unauthorized use, sharing of credentials, or security breaches.
4. Use of Service
4.1 Acceptable Use
You agree to lawful use and not to misuse the Service (e.g., compromising security, reselling content without consent).
4.2 Content
You retain rights to your uploaded content but grant LumiLex a license to process this content to provide and improve the Service. Content may be deleted upon account termination. You are responsible for ensuring you have the right to submit your content to the Service and for not submitting data you are not permitted to disclose.
5. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LUMILEX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE.
6. Not Legal Advice
THE SERVICE AND ITS CONTENTS DO NOT CONSTITUTE LEGAL ADVICE, LEGAL OPINIONS, OR LEGAL SERVICES. YOUR USE OF THE SERVICE DOES NOT CREATE AN ATTORNEY-CLIENT OR OTHER PROFESSIONAL ADVISORY RELATIONSHIP. OUTPUTS MAY BE GENERATED USING ARTIFICIAL INTELLIGENCE, WHICH CAN PRODUCE INACCURATE OR INCOMPLETE RESULTS. THE SERVICE IS DESIGNED TO PROVIDE INFORMATION AND TOOLS FOR TRADE COMPLIANCE ACTIVITIES BUT IS NOT A SUBSTITUTE FOR ADVICE FROM QUALIFIED LEGAL COUNSEL. VERIFY ALL INFORMATION PROVIDED THROUGH THE SERVICE INDEPENDENTLY WITH A QUALIFIED LEGAL PROFESSIONAL BEFORE TAKING ACTION BASED ON SUCH INFORMATION.
7. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Each party’s total aggregate liability arising out of or relating to these Terms or the Service will not exceed the total fees paid by you to LumiLex in the twelve (12) months preceding the event giving rise to the claim; provided that, for claims arising from a party’s breach of its confidentiality obligations or from a breach of LumiLex’s data-security obligations resulting in unauthorized access to or disclosure of your data, that cap is increased to two (2) times such fees. These limitations do not apply to your payment obligations, your breach of LumiLex’s intellectual property rights, a party’s indemnification obligations, or liability arising from fraud, gross negligence, or willful misconduct. Where you have entered into a signed subscription agreement with LumiLex, the limitation-of-liability terms of that agreement control.
8. Indemnification
You will defend, indemnify, and hold harmless LumiLex and its affiliates, and their respective officers, directors, employees, and agents, from and against any third-party claims, and any resulting losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees), arising out of or relating to (a) your content or your submission of it to the Service; (b) your or your users’ use of the Service or any output in violation of these Terms or applicable law; or (c) your breach of these Terms. LumiLex will promptly notify you of any such claim, provide reasonable cooperation, and allow you to control the defense and settlement, provided that no settlement imposing any liability or obligation on LumiLex will be made without its prior written consent.
9. Intellectual Property
The Service and its content remain the exclusive property of LumiLex and its licensors.
10. Data Privacy
Refer to our Privacy Policy for information on data collection and processing, including how we use third-party AI providers to process data submitted to the Service. Our hosting and data-handling practices are described further in the Privacy Policy and, for subscribers, in their subscription agreement.
11. Term and Termination
We may terminate your account immediately for Terms breaches. No refunds upon termination unless legally required.
12. Changes to Terms
Material changes will be communicated 30 days prior. Continued use indicates acceptance.
13. Governing Law and Jurisdiction
These Terms are governed by Delaware law. Any dispute arising out of or relating to these Terms will be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction and venue of those courts.
14. Dispute Resolution
The parties will first attempt in good faith to resolve any dispute through negotiation. Any unresolved dispute will be resolved by the state or federal courts located in the State of Delaware, as set forth in Section 13.
15. Force Majeure
LumiLex is not liable for delays or failures caused by events beyond its control.
